The undersigned company Ceramica Fondovalle S.p.A. (hereinafter “Fondovalle”), with registered office in Torre Maina (MO), no. 12 Via Rio Piodo, tax code and VAT number 00183500362, owner of the composite mark, as represented below
(hereinafter “the Mark”)
AUTHORISES
The Applicant to use:
- the Mark in the exact same graphic form as represented above for promotional purposes connected with the resale of the related products, and
- the images of the settings present, relative to the Mark series (the “Images”) requested by the Company, for promotional purposes connected with the resale of the related products,
provided that such use takes place: (a) in a manner that does not create confusion between Fondovalle and the Applicant and (b) in accordance with the rules of professional integrity.
Furthermore, should the aforementioned Mark and Images be posted online, a link must be provided to connect the Mark and/or Images with the relevant pages.
With regard to the above, subject to the revocation of this authorisation, the Applicant shall transmit to Fondovalle its plans for using the Mark and/or Images so that Fondovalle may give its prior approval in writing. The Applicant undertakes, as of now, to cease using the Mark and/or the Images if requested by the undersigned Fondovalle and, in any case, in the event of the termination of existing business relations, regardless of the cause.
The Applicant acknowledges that this authorisation does not grant it any right to the Mark or the Images, which are and remain the exclusive property of Fondovalle, and undertakes to:
(i) refrain from registering/allowing third parties to register the Mark and/or similar logos and/or their transliterations with Italian and/or foreign authorities; (ii) refrain from using the Mark and the Images, of which Fondovalle is the owner, except in the forms expressly approved by Fondovalle.
